Dakota Irish Guild Affiliate Agreement
This Affiliate Agreement (the "Agreement") is made and entered into by and between Dakota Irish Crafts Limited, with its registered office at UNIT G, Sark Business Park, Purcellsinch, Kilkenny, R95 HK81, Ireland (the "Company") and [Your Name], with an address of [Your Address] (the "Affiliate").
- Introduction
The Company is a leading supplier of Irish handcrafted goods. The Affiliate is an individual or entity interested in promoting the Company's products to potential customers. This Agreement outlines the terms and conditions under which the Affiliate will promote the Company's products and earn commissions.
- Terms of the Agreement
2.1. Affiliate Code
The Company will provide the Affiliate with a unique affiliate code that can be used to track sales made through the Affiliate's website or social media channels. The Affiliate will be able to track their sales and commissions through an affiliate dashboard. Customers who use this code will receive a 10% discount on orders made on Dakotairish.com, (this discount excludes, digital goods, 3d printed miniatures and confectionary.)
2.2. Commission Rate
The Company will pay the Affiliate a 5% commission on all sales made through the Affiliate's unique affiliate code. The commission will be paid on a monthly basis, net of any applicable taxes.
2.3. Promotional Materials
The Company will provide the Affiliate with promotional materials, including banners, images, and text, to use on their website or social media channels. The Affiliate is responsible for creating their own unique content and ensuring that it is in accordance with the Company's brand guidelines.
- Term and Termination
This Agreement will commence on the Effective Date and will continue for an initial term of 1 month. The Agreement will automatically renew for additional monthly terms unless either party provides written notice of termination to the other party.
Either party may terminate this Agreement immediately if the other party breaches any material provision of this Agreement and fails to cure such breach within 30 days of written notice from the non-breaching party.
Upon termination of this Agreement, the Affiliate will be prohibited from using the Company's affiliate code or any other Company intellectual property. The Affiliate will also be required to remove all promotional materials from their website or social media channels.
- Intellectual Property
The Company owns all rights to its intellectual property, including its trademarks, copyrights, and trade secrets. The Affiliate is granted a non-exclusive, non-transferable license to use the Company's affiliate code and promotional materials solely for the purpose of promoting the Company's products in accordance with this Agreement.
- Indemnification
The Affiliate will indemnify and hold harmless the Company from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with the Affiliate's breach of this Agreement or the Affiliate's use of the Company's intellectual property.
- Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.
